These Terms and Conditions ("Agreement") govern your use of the website www.ormity.com (referred to as "the Site") and the purchase and use of any products or services offered on the Sites. By accessing or using the Sites, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use the Sites.

PRODUCT DESCRIPTIONS We strive to provide accurate and up-to-date information about our products and services on the Sites. However, we do not warrant that the descriptions, specifications, or other content on the Sites are error-free, complete, or current. We reserve the right to modify or update the content of the Sites at any time without prior notice.

PRODUCT CUSTOMIZATION As a test equipment solution provider, we offer customization services for some of our products. Details of customization options and processes will be provided during the purchase process. Please note that, due to the customized nature of these products, they are not eligible for returns unless there are manufacturing defects.

PAYMENTS Payment for products or services purchased through the Sites must be made in accordance with the payment terms specified during the checkout process. We accept the following forms of payment: credit cards processed through the SQUARE Inc. payment system, PayPal, and bank transfers. All payments shall be in the currency specified on the Sites.

ORDER ACCEPTANCE Your placement of an order does not necessarily guarantee acceptance of that order. We reserve the right to refuse or cancel any order for any reason, including but not limited to the unavailability of products or services, errors in pricing or product information, or concerns about fraudulent or unauthorized activity.

RETURNS AND RESTOCK FEES Returns are only accepted for products with manufacturing defects. For all other returns, a restocking fee of 25% of the purchase price will apply. Returns must be made within [number of days] days of the delivery date, and the product must be in its original condition and packaging. Shipping costs for returns are the responsibility of the customer.

If it is a special order, such as requiring custom machine dimensions or any other unique specifications, and if any disagreement arises during the transaction, there will be a restocking fee of 20%. The equipment will be put up for sale again by Ormity, and the reimbursement will be processed once the equipment is resold. Any downpayment or payment made to Ormity will be deducted from the restocking fee, and the remaining balance will be reimbursed to the customer.

INTELLECTUAL PROPERTY All intellectual property rights related to the Sites and the content displayed on them are owned by Ormity Inc or its licensors. This includes but is not limited to, copyrights, trademarks, and patents. Unauthorized use of any content from the Sites may violate copyright, trademark, and other applicable laws.

USE OF THE SITES You agree to use the Sites only for lawful purposes and in accordance with this Agreement. You shall not use the Sites in a manner that damages the Sites, the services offered, or the general business of Ormity Inc. Furthermore, you agree:

a) Not to harass, abuse, or threaten others, or violate the legal rights of any individual;

b) Not to infringe the intellectual property rights of Ormity Inc or third parties;

c) Not to transmit or distribute computer viruses or any other software that may damage the property of others;

d) Not to engage in fraud;

e) Not to participate in illegal gambling, sweepstakes, or pyramid schemes;

f) Not to publish or distribute obscene or defamatory material;

g) Not to publish or distribute material that incites violence, hatred, or discrimination against any group;

h) Not to unlawfully collect information about others.

LINKS AND THIRD-PARTY CONTENT The Sites may contain links to third-party websites or other services. These links are provided solely for your convenience. Ormity Inc does not control and assumes no responsibility for the content, privacy policies, or practices of third-party websites. By accessing third-party websites, you do so at your own risk.

DISCLAIMER OF WARRANTIES The Sites and the content on them are provided on an "as is" and "as available" basis. Ormity Inc makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Sites or the accuracy, reliability, or completeness of any content. The governance of this website by Ormity Inc commenced on January 1, 2023. Ormity Inc is not liable for any acts, omissions, or liabilities arising from the previous administration and ownership of the website. Ormity Inc is an independent entity and is not the successor of any other company. Any references or associations to prior administrations or ownership are hereby disclaimed.

Furthermore, all pending orders related to the previous owner have been forwarded to them for fulfillment or reimbursement. Ormity Inc is not entitled to receive any credits or liabilities owned by the previous owner

GOVERNING LAW AND JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of the province of Quebec, Canada. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Quebec, Canada.

SEVERABILITY If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Agreement shall remain in full force and effect.

ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and Ormity Inc regarding the subject matter hereof and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral.
