DELIVERY & INSTALLATION Delivery and installation refer to the transit of goods post-customs clearance from the destination port or airport to the customer site. If offered, this includes on-site setup and maintenance training.

INCOTERMS AND IMPORT DUTIES All transactions shall comply with the mutually agreed Incoterms. Unless explicitly agreed otherwise in writing, Ormity Inc. shall not be liable for any foreign import duties, taxes, or customs fees incurred at or beyond the destination country’s entry point. These responsibilities remain solely with the customer.

RETURNS AND RESTOCK FEES Returns are accepted only for defective products. A 25% restocking fee applies to all other returns. Returns must occur within 30 days and in original condition. Return shipping costs are the customer's responsibility.

​Special orders with custom specifications incur a 20% restocking fee if disagreements arise. Products will be resold, and reimbursement occurs post-sale. Down payments are deducted from the fee, and remaining balances are reimbursed.

DELAY CLAUSE AND CUSTOMER ACCEPTANCE For deliveries delayed over 60 days, if no written objection or cancellation is received from the customer, such delay shall be deemed accepted. Any refund requests post-cancellation will only be processed after the product is resold. Reimbursement is subject to restocking and administrative fees.

LITIGATION AND HOLDS Ormity Inc. reserves the right to place any order on hold upon initiation of any litigation, complaint, or formal notification from the customer. Production and delivery will resume only after resolution or mutual agreement.

CONFLICT ZONES AND FORCE MAJEURE. For deliveries involving countries affected by conflict zones or geopolitical restrictions, final pricing and timelines must be renegotiated. Ormity Inc. shall not be liable for any delay or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, embargoes, pandemics, government restrictions, labor disputes, and supply chain disruptions.
